Terms of Service

The Services are provided by SolBirds Inc. (“SolBirds,” “we,” “us,” or “our”), operating under the Vireo brand.

By accessing or using Vireo’s products, services, websites, applications, or related tools (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to these Terms, you may not use the Services.

We may update these Terms from time to time to reflect changes to our business, technology, or legal requirements. When we make material changes, we will post an updated version and, where appropriate, notify you. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of those changes. If you use the Services on behalf of a brokerage or other entity, you represent that you have the authority to bind that entity to these Terms.

You agree to use the Services in compliance with all applicable laws and these Terms. Any use in violation of these Terms may result in suspension or termination of your access, at our sole discretion. The following activities, without limitation, are violations:

• Attempting to access, copy, or modify any part of the platform, its APIs, or underlying code without authorization.
• Accessing data or accounts belonging to other users without permission.
• Using the Services to generate or distribute unlawful, harmful, defamatory, discriminatory, or misleading content, or to misrepresent a property.
• Introducing viruses, malware, or other harmful code, or disrupting the availability, security, or performance of the Services.
• Reselling, sublicensing, or white-labelling the Services without our written agreement.
• Using the Services for any activity that violates applicable law.

We reserve the right to investigate suspected violations and may cooperate with authorities when required. Violations may lead to immediate suspension or permanent termination of access.

As a user of the Services, you agree to:

• Provide accurate, complete registration, billing, and account information, and keep it up to date.
• Keep your login credentials confidential, and notify us promptly if you suspect unauthorized access. You are responsible for all activity under your account.
• Use the Services only for lawful purposes and in accordance with these Terms.
• Only upload, share, or process content you have the legal right to use, including listing photos and documents, and ensure your listing information is accurate.
• Cooperate promptly with reasonable requests regarding suspected violations or security concerns.

While we strive to provide reliable, uninterrupted access, we cannot guarantee the Services will be available at all times. Access may be suspended or limited, with or without notice, due to scheduled maintenance, unplanned outages (such as hardware, software, or network failures or cyberattacks), or events beyond our reasonable control. We will make reasonable efforts to restore the Services as quickly as possible, but we are not liable for damages or losses resulting from downtime, limited functionality, or service degradation.

We process the content and data you provide solely to deliver, maintain, and improve the Services. This includes the listing materials you upload or generate (“Customer Content”), operational data such as system logs and usage statistics, and the concierge interactions on your published tours.

You retain ownership of your Customer Content. We do not sell or rent it. We may disclose it only to people or service providers who need access to operate the Services and are bound by confidentiality obligations, or where required by law. Where practical, we anonymize or aggregate data before using it to improve the Services. Upon request or account termination, we will delete or return your Customer Content, unless retention is required by law. See our Privacy Policy for more detail.

You agree to use the Services lawfully and responsibly. The following are prohibited:

• Any activity that violates applicable law.
• Uploading, sharing, or generating content that infringes the intellectual property, privacy, or other rights of any person or organization.
• Introducing malware, viruses, or code intended to disrupt or damage the Services.
• Gaining or attempting to gain unauthorized access to any systems, accounts, or data.
• Using the Services in a way that places excessive or unreasonable demand on system resources.
• Creating, promoting, or distributing harmful, discriminatory, defamatory, or misleading content, or misrepresenting a property or listing.
• Reselling, sublicensing, or white-labelling the Services without our written agreement.

We may monitor usage to ensure compliance. Violations may result in warnings, suspension, termination of access, and potential legal action.

The Services use automated tools to draft listing descriptions, organize rooms and features, and answer buyer questions through the concierge. You are responsible for content produced through your use of the Services, and you acknowledge that:

• You must review and verify automated output before publishing or relying on it, to ensure it is accurate and complies with these Terms, applicable laws, and the rights of others.
• You represent that the materials you provide (such as photos, documents, and listing details) do not infringe the rights of any third party.
• Automated output is generated from patterns in data and may be inaccurate or incomplete. We make no representation that it is original, unique, or non-infringing.

You agree to indemnify, defend, and hold harmless SolBirds, its officers, directors, employees, agents, and licensors from any claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to content created, stored, or distributed through your account, any allegation that such content infringes the rights of a third party, or any violation of applicable laws or these Terms arising from your use of the Services. This obligation survives the termination of these Terms.

To ensure equitable access and maintain performance for everyone, we apply a fair usage approach. You agree to use the Services, including automated queries, in a manner consistent with normal business use. Examples of unreasonable usage include excessive query volume that impacts availability for others, and automated or scripted usage that circumvents normal platform controls without authorization. If your usage is unreasonable, we may suspend, throttle, or limit access to certain features, and we will make reasonable efforts to notify you and work with you to adjust.

New agent accounts include a 30-day free trial, with no credit card required to start. After the trial, continued use requires a paid subscription at the rate shown at sign-up (currently $149 per month, CAD), billed monthly in advance until you cancel. We will not charge you automatically without your action to subscribe.

Fees are non-refundable except as required by law or otherwise agreed in writing. All fees are exclusive of applicable sales taxes, which will be added as required by law. Late or failed payments may result in suspension of the Services until payment is received. Prices may change on reasonable notice.

If you believe a charge is incorrect, you must notify us in writing within 10 business days, identifying the disputed amount and the reason. You must pay any undisputed portion by the due date. We will work with you in good faith to investigate and resolve the dispute promptly, and any adjustment will be applied as a credit or refund as appropriate. Failure to raise a dispute within that time will be deemed acceptance of the charge.

The Services are self-serve: your account and trial are activated when you complete sign-up, and paid features continue once you subscribe. We may require certain information to be provided before some features are available; failure to provide it in a timely manner may delay availability. The Services are deemed provided once we have made them accessible through your account, whether or not you have begun active use.

All rights, title, and interest in and to the Services, including the platform, software, algorithms, user interface, designs, and trademarks, are and remain the exclusive property of SolBirds and its licensors.

• Limited licence: we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your business purposes.
• Restrictions: you may not copy, modify, reverse engineer, decompile, or attempt to derive the source code or underlying structure of the Services, except as permitted by law.
• Your content: content you create using the Services remains yours; you grant us a non-exclusive, royalty-free licence to store, process, and transmit it as necessary to operate the Services and to display the tours you publish.
• Trademarks: “Vireo” and associated logos and marks may not be used without our prior written consent.
• Third-party components: the Services may incorporate third-party software, which remains the property of its owners and is subject to its own terms.

We will provide the Services in a professional and workmanlike manner. Except as expressly stated, the Services are provided on an “as is” and “as available” basis, without warranties or conditions of any kind, whether express, implied, statutory, or otherwise. We do not warrant that the Services will meet your exact requirements, operate without interruption, be error-free, or that automated output will be accurate. You are responsible for reviewing and validating any automated output before relying on it. Some jurisdictions do not allow certain limitations, so they may not apply to you to the extent prohibited by law.

To the maximum extent permitted by law, in no event will SolBirds, its directors, officers, employees, contractors, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities, arising from your use of, or inability to use, the Services. Our total aggregate liability for any claim will not exceed the total amount you paid for the Services in the three (3) months preceding the event giving rise to the claim. Some jurisdictions do not allow these limitations, so they may not apply to you to the extent prohibited by law.

You may cancel at any time from your account or by contacting us. For monthly subscriptions, cancellation takes effect at the end of the current billing period, and you will not be charged for the next period. Cancellation does not refund the current period unless required by law. You are responsible for exporting or requesting a copy of your content before cancelling; we will retain it for a reasonable period afterward to allow retrieval, then delete it. Any outstanding fees become due upon cancellation.

We may suspend or terminate your access, in whole or in part, if you materially breach these Terms (including our Acceptable Use or Payment terms), for non-payment, for fraud or misuse, if your use poses a security risk, or if we discontinue the Services. Where reasonable, we will provide notice and an opportunity to remedy the issue before suspension or termination, except in cases of severe violations, illegal activity, or urgent security threats. Upon termination, your rights to use the Services cease, and you remain responsible for any outstanding fees. We will retain your content for a reasonable period afterward to allow retrieval, then delete it.

We take reasonable steps to protect the Services and your content, and you are responsible for keeping your account credentials secure and notifying us of any suspected compromise. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

These Terms, and any dispute arising out of or related to them or the Services, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Any legal action will be brought exclusively in the courts located in Ontario, Canada, and you submit to the personal jurisdiction of those courts. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SolBirds regarding the Services and supersede prior agreements on the subject. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, reorganization, or sale of assets. Our failure to enforce a provision is not a waiver of it. Neither party is liable for failures caused by events beyond their reasonable control. Notices to us should be sent to the contact below.
